Dealer Code of Conduct
The standards every Acclivity Innovations dealer agrees to uphold

This Code of Conduct (the "Code") sets the standards expected of every authorized dealer of [Acclivity Innovations LLC] ("Acclivity Innovations"). It supports and is incorporated into the Acclivity Innovations Dealer Program Terms. As a family-built performance brand, our reputation rides on how our dealers represent us — this Code protects that reputation, our customers, and you.
Purpose and Scope
This Code applies to you and to your owners, employees, and contractors when representing or reselling Acclivity Innovations Products. Following it is a condition of remaining an authorized dealer. Where this Code and the Dealer Program Terms address the same topic, read them together; the Dealer Program Terms control in the event of a conflict.
Honest Representation and Advertising
- Describe Products accurately and only make performance, horsepower, fitment, warranty, or compliance claims that Acclivity Innovations publishes.
- Do not overstate results, fabricate dyno or test data, or imply outcomes Acclivity Innovations has not stated.
- Keep listings current with the correct specifications, supported applications, and pricing.
- Clearly distinguish genuine Acclivity Innovations Products from accessories or third-party parts you also sell.
Pricing Integrity and MAP
Adhere to the Minimum Advertised Price (MAP) Policy in all public-facing advertising. Do not use hidden discounts, misleading "list" prices, or bundles that effectively advertise a Product below MAP. Honest pricing keeps the playing field level for every dealer.
Intended Use and Regulatory Compliance
Acclivity Innovations Products are built for closed-course competition and off-road use. Represent them honestly on that basis.
- Never advertise or sell a Product as street-legal, emissions-compliant, or suitable for on-highway use unless Acclivity Innovations states so in writing for that Product and application.
- Do not remove, alter, or hide any compliance, safety, or use notice Acclivity Innovations provides.
- Comply with all federal, state, and local laws that apply to selling and installing the Products where you operate.
Customer Safety and Responsible Tuning
- Install and configure Products competently, following Acclivity Innovations documentation and sound shop practice.
- Advise customers on safe, appropriate use, supporting hardware, and the limits of a given calibration.
- Do not deliver tunes or configurations you know are unsafe for the customer's vehicle or intended use.
Product and Firmware Integrity
- Do not tamper with, clone, bypass, or circumvent firmware, licensing, or security features.
- Do not reverse engineer, copy, or redistribute Acclivity Innovations firmware, calibrations, or software except as expressly permitted.
- Report suspected counterfeit, tampered, or unsafe Products to Acclivity Innovations promptly.
Intellectual Property and Confidentiality
- Use Acclivity Innovations names, logos, images, and marketing assets only as authorized and per any brand guidelines.
- Do not register Acclivity Innovations-related domains, handles, trademarks, or paid-search keywords.
- Keep non-public information — pricing, allocation, roadmap, and technical materials — confidential and use it only to do business with Acclivity Innovations.
Customer Data and Privacy
Handle customer personal information lawfully and responsibly. Collect only what you need, protect it with reasonable safeguards, and do not misuse or sell customer data. Follow applicable privacy laws and honor customer choices.
Professionalism and Customer Service
- Treat customers, Acclivity Innovations staff, and fellow dealers with honesty and respect.
- Respond to customer inquiries, orders, and warranty matters promptly and in good faith.
- Represent Acclivity Innovations in a manner consistent with a premium, rider-built brand.
Fair Dealing, Anti-Bribery, and Conflicts
Compete fairly and lawfully. Do not offer or accept bribes, kickbacks, or improper payments, and do not engage in deceptive or anti-competitive practices. Disclose to Acclivity Innovations any actual or potential conflict of interest that could affect your role as an authorized dealer.
Warranty and Claims Honesty
Present warranty coverage accurately, submit only legitimate warranty and RMA claims, and assist customers honestly in the claims process. Do not misrepresent the cause of a failure or submit fraudulent claims.
Reporting Concerns
If you become aware of a violation of this Code — by your business or another dealer — or of any safety, legal, or compliance concern involving the Products, report it to Acclivity Innovations at conduct@acclivityinnovations.com. Acclivity Innovations will not retaliate against a dealer for a good-faith report.
Enforcement and Consequences
Acclivity Innovations may investigate suspected violations and take action under the Dealer Program Terms, including coaching, suspension of pricing or benefits, withholding allocation, requiring corrective action, or suspending or terminating the dealer relationship. Serious violations — including counterfeiting, unsafe practices, or misrepresenting intended use or compliance — may result in immediate termination.

The undersigned confirms that it has read and understood this Code of Conduct and agrees, on behalf of its business and personnel, to uphold these standards as a condition of remaining an authorized Acclivity Innovations dealer.
